These Terms & Conditions ("Terms") govern your access to and use of the website https://www.indianadrives.com (the "Site"), and any quotation, order, AMC contract or service engaged with Indiana Drives & Engineering Pvt. Ltd. ("Indiana Drives", "we", "us", "our"). By using the Site or engaging us for products or services, you agree to be bound by these Terms.

If you are using the Site or entering into an order on behalf of a company, you represent that you have the authority to bind that company to these Terms.

Our products and services are intended for business and industrial use. You must be at least 18 years old and authorised to transact on behalf of your organisation to place an order, request a quotation, or sign an AMC contract with us.

Indiana Drives supplies and services industrial automation and electrical equipment, including sensors and transmitters, variable frequency drives, electric motors, programmable logic controllers, switchgear, solenoid valves, HMI panels, soft starters, harmonic filters and control panels, along with AMC, repair and facility management services.

• Product descriptions, specifications and images on the Site are for general reference; actual specifications may vary by manufacturer revision.
• Availability of any product or service is subject to confirmation at the time of order.
• Customised or repaired equipment is supplied based on the specifications and information provided by you; we are not responsible for issues arising from incorrect or incomplete information.

Quotations issued by us are valid for the period stated on the quotation and are subject to change without notice thereafter. An order is confirmed only upon our written acknowledgement of your purchase order or advance payment, as applicable.

• Prices are exclusive of applicable taxes (GST), freight, insurance and installation charges unless stated otherwise.
• We reserve the right to revise prices to reflect changes in raw material, currency or manufacturer pricing prior to order confirmation.
• Lead times communicated are estimates and not guaranteed delivery dates unless contractually agreed in writing.

Annual Maintenance Contracts (AMC), repair work and on-site service visits are governed by the specific scope, frequency and terms agreed in the relevant AMC contract or service agreement, in addition to these Terms.

• You agree to provide safe and timely access to the site, equipment and relevant personnel for scheduled visits.
• Any equipment downtime, production loss, or third-party damage arising from circumstances outside our reasonable control (including pre-existing faults, misuse, or unauthorised modification) is not our responsibility.
• Spare parts and consumables used during repairs are billed separately unless covered under the specific AMC scope.

Payment terms (advance, partial, or credit period) are as agreed on the quotation, purchase order acknowledgement or AMC contract. Delayed payments may attract interest and may result in suspension of pending deliveries or service visits until dues are cleared.

Where applicable, products carry the original manufacturer's warranty, subject to the manufacturer's terms. Repair and service work carried out by us carries a limited workmanship warranty as specified on the relevant invoice or service report.

• Warranties do not cover damage from misuse, unauthorised repair, electrical surges, improper installation, or normal wear and tear.
• The Site and its content are provided on an 'as is' and 'as available' basis without warranties of any kind, express or implied, to the fullest extent permitted by law.

To the fullest extent permitted by law, Indiana Drives shall not be liable for any indirect, incidental, consequential or special damages, including loss of production, revenue or business opportunity, arising from the use of our products, services or the Site.

Our aggregate liability for any claim arising out of a specific order, AMC contract or service shall not exceed the amount paid by you for that specific order, contract or service.

All content on the Site — including text, graphics, logos, product images and layout — is owned by or licensed to Indiana Drives & Engineering Pvt. Ltd. and is protected by applicable intellectual property laws. You may not reproduce, distribute or create derivative works from this content without our prior written consent.

When using the Site, you agree not to:

• Use the Site for any unlawful purpose or in violation of any applicable law or regulation.
• Attempt to gain unauthorised access to the Site, its servers, or any connected systems.
• Submit false, misleading or fraudulent enquiry, order or business information.
• Interfere with or disrupt the Site's functionality, security or availability.

The Site may contain links to third-party websites (such as payment gateways or manufacturer resources) for your convenience. We do not control and are not responsible for the content, accuracy or practices of any third-party site.

You agree to indemnify and hold Indiana Drives & Engineering Pvt. Ltd., its officers, employees and partners harmless from any claims, damages, losses or expenses (including legal fees) arising from your breach of these Terms, misuse of the Site, or violation of any applicable law.

We reserve the right to suspend or terminate your access to the Site, or decline/cancel an order or AMC contract, where there is a breach of these Terms, non-payment, fraudulent activity, or where required by law — with or without prior notice, as circumstances require.

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at Navi Mumbai, Maharashtra, without prejudice to any other remedy available to us by law.

We may revise these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date. Continued use of the Site or engagement of our services after changes are posted constitutes acceptance of the revised Terms.
